Terms and Conditions for Participation

1. Introduction and Acceptance

These Terms and Conditions (these "Terms") govern participation in the AEREDIUM AERX airdrop and points program (the "Program"). The Program, and the tokenomics of which it forms part, are owned and managed jointly by Aeredium Digital Limited, a company incorporated in the British Virgin Islands and the issuer of the AERX token, and Aeredium Foundation Limited, a company incorporated in the Cayman Islands (together, "AEREDIUM," "we," "us," or "our"). These Terms apply to all airdrops, points allocations, promotional campaigns, and reward activities conducted under the Program, and to any conversion of Points into AERX. Any right, discretion, or remedy granted to AEREDIUM under these Terms may be exercised by either entity, acting alone or together.

By participating in the Program in any way — including by connecting a wallet, registering an Account, claiming an airdrop, performing any activity that earns Points, referring others, or requesting conversion of Points — you agree to be bound by these Terms. If you do not agree to these Terms, you must not participate in the Program.

THE PROGRAM IS A DISCRETIONARY PROMOTIONAL PROGRAM. POINTS HAVE NO MONETARY VALUE, ARE NOT PROPERTY, AND CONFER NO RIGHT, TITLE, INTEREST, OR ENTITLEMENT OF ANY KIND UNTIL AND UNLESS THEY ARE CONVERTED INTO AERX IN ACCORDANCE WITH THESE TERMS.

2. Definitions

"Account" means a single registered participant account in the Program, held through a verified StablePro Wallet, associated with exactly one natural person and the wallet address or addresses registered to that account through the Program interface.

"AerKYC" means AEREDIUM's privacy-preserving know-your-customer identity verification system.

"AERX" means the AERX token issued by Aeredium Digital Limited, into which Points may be converted subject to these Terms. AERX is a utility token whose intended use is to pay gas fees and deploy smart contracts on the AEREDIUM chain. It is not an investment, a security, or a promise of return.

"Airdrop" means any distribution of Points (or of eligibility to earn Points) made by AEREDIUM at its sole discretion, whether announced or unannounced, and whether based on past activity, campaign participation, or any other criteria AEREDIUM selects.

"Automated Means" means any bot, script, scraper, emulator, headless browser, automation framework, artificial-intelligence agent, click farm, device farm, or any other software, hardware, or human-coordination arrangement designed to simulate, multiply, or mechanize the activity of a genuine individual participant.

"KYC Verification" means the successful completion of identity verification through AerKYC by the natural person who owns the relevant Account, including submission of valid government-issued identification and any liveness, biometric, proof-of-address, or supplementary checks AEREDIUM or its verification provider requires.

"Listing" means the first listing of AERX on an exchange, as announced by AEREDIUM on its official channels.

"Points" means the non-transferable program units credited to an Account under the Program. Points are a bookkeeping measure of Program participation only.

"Sybil Activity" means the creation, operation, direction, funding, or beneficial use of more than one Account, wallet, or identity — directly or indirectly, alone or with others — for the purpose of earning, multiplying, aggregating, or extracting Points or AERX beyond what a single genuine individual participant would earn.

3. Eligibility

Participation in the Program is open only to natural persons who meet all of the following conditions:

• You are at least 18 years of age (or the age of majority in your jurisdiction, if higher).
• You are participating on your own behalf, for your own benefit, and not on behalf of, at the direction of, or for the benefit of any other person or entity.
• You are not located in, ordinarily resident in, or a citizen of any sanctioned or restricted jurisdiction, or any jurisdiction where participation in the Program or receipt of AERX would be unlawful, and you are not using a VPN, proxy, or other means to bypass geographic controls.
• You are not subject to sanctions administered by the United Nations, the United States (including OFAC), the European Union, the United Kingdom, or any other applicable sanctions authority, and you are not owned or controlled by any sanctioned person.
• You have not previously been suspended, disqualified, or removed from the Program or any other AEREDIUM product or service.

Legal entities, trusts, partnerships, DAOs, and other non-natural persons are not eligible to hold Accounts or earn Points. The Program is for individual human participants only.

4. One Person, One Account

Each natural person may register, hold, operate, and benefit from exactly one Account. This is an absolute rule and admits no exceptions.

Without limiting the generality of the rule above:

• You may not register, control, operate, fund, or benefit from more than one Account, whether in your own name, in another person's name, under a pseudonym, or otherwise.
• You may not permit any other person to use your Account, and you may not use any Account registered to another person.
• You may not create Accounts for, or lend your identity or identity documents to, any other person for the purpose of registering an Account or completing KYC Verification.
• A wallet address may be registered to at most one Account, and an Account may not claim, receive, or aggregate Points earned by wallets that are not registered to it.

If AEREDIUM determines, in its sole discretion, that a single person controls or benefits from more than one Account, AEREDIUM may permanently forfeit all Points in all such Accounts, deny or reverse any conversion, ban the person from the Program and from all AEREDIUM products, and take any other action described in Section 10.

5. Prohibition on Bots and Automated Participation

Airdrops and Points are intended for genuine individual participants only. AEREDIUM does not accept bots for Airdrops, and participation by Automated Means is strictly prohibited.

Prohibited conduct includes, without limitation:

• Operating, deploying, or directing any bot, script, or other Automated Means to register Accounts, generate wallets, perform qualifying activity, claim Airdrops, or earn Points.
• Operating a network, farm, or "army" of wallets or Accounts, whether automated or manually operated, whether operated by you or by persons acting on your behalf or at your direction.
• Purchasing, renting, borrowing, or otherwise acquiring Accounts, wallets, Points, identities, or KYC credentials from any other person.
• Fake referrals, spoofed engagement, simulated activity, wash trading, self-dealing between wallets under common control, or performing transactions whose primary purpose is the accrual of Points rather than genuine use of AEREDIUM products.
• Circumventing, probing, or interfering with any anti-abuse, rate-limiting, fingerprinting, or sybil-detection measure used by the Program.

Points accrued in whole or in part through Automated Means or Sybil Activity are void from the moment of accrual, are deemed never to have been validly earned, and carry no conversion right whatsoever.

6. KYC Verification and Conversion of Points into AERX

6.1 Points Convert Only After KYC Verification

Points may be converted into AERX only after the Account holder has fully and successfully completed KYC Verification through AerKYC for that Account. There is no other path to conversion. Points may be earned before verification, but unverified participants receive nothing at conversion. Until KYC Verification is complete, Points remain a discretionary, revocable, valueless bookkeeping entry, and no person has any right or expectation of receiving AERX.

6.2 One KYC Per Account; One Account Per Identity

KYC Verification is performed per Account, and each verified identity may be associated with exactly one Account. If the identity presented in a KYC Verification is already associated with another Account, verification will be refused. If AEREDIUM discovers after the fact that one identity is associated with more than one Account, all Accounts associated with that identity are subject to forfeiture under Section 10, including any Account already verified and any AERX already delivered.

6.3 Conversion Ratio and Listing-Day Snapshot

Points convert at a fixed ratio of ten (10) Points to one (1) AERX. Points must be active in a verified StablePro Wallet on the day of Listing; they are snapshotted on that day and converted at the fixed ratio. Point balances are rounded down to the nearest multiple of ten at the snapshot; remainders of fewer than ten Points are not converted. Converted AERX follows the airdrop vesting schedule: 10% usable at Listing, and 90% subject to a 3-month lock followed by a 12-month linear vest.

6.4 No Consolidation of Accounts

Points cannot be consolidated, merged, pooled, transferred, or aggregated across Accounts under any circumstances. In particular, and for the avoidance of any doubt: a person who has operated multiple Accounts or wallets — whether personally, through bots, through nominees, or otherwise — may not consolidate the Points from those Accounts into a single Account and then present one identity for a single KYC Verification. Any attempt to do so constitutes Sybil Activity. All Points in every Account involved in an attempted consolidation are void, and the presenting identity is subject to a permanent Program ban.

6.5 Verification Standards and Refusal

AEREDIUM may refuse, suspend, or revoke KYC Verification at its sole discretion, including where documents appear altered, synthetic, reused, or inconsistent; where liveness or biometric checks fail or are evaded; where device, network, behavioral, or on-chain signals indicate Sybil Activity or Automated Means; or where verification cannot be completed to AEREDIUM's satisfaction for any reason. AEREDIUM is not obligated to disclose the specific detection signals or reasons underlying a refusal.

6.6 Timing and Delivery

Conversion is not instantaneous. AEREDIUM may batch conversions, impose review or cooling-off periods, and delay delivery of AERX pending anti-abuse review. AERX is delivered only to a wallet address registered to the verified Account.

7. Nature of Points; No Value, No Transfer

• Points are not money, currency, cryptocurrency, securities, property, or an asset of any kind.
• Points have no cash value, cannot be redeemed for cash, and cannot be sold, transferred, assigned, pledged, gifted, bequeathed, or exchanged between persons or Accounts.
• Any purported sale or transfer of Points, Accounts, or conversion rights is void, and both parties to such a transaction forfeit all Points and Program eligibility.
• Points do not accrue interest and do not represent any share, claim, debt, or interest in AEREDIUM or any AEREDIUM product.
• AEREDIUM may adjust, correct, or revoke Points at any time to correct errors or to address breach of these Terms, including Sybil Activity and Automated Means.
• Points that are not converted at the Listing-day snapshot — including Points held in unverified Accounts — are extinguished without compensation.

8. Program Mechanics, Cap, and Clawback Rules

• Program cap. The airdrop pool is finite. When the Program reaches a cumulative 200,000,000 Points across all participants, earning stops and the Program closes. The AEREDIUM tokenomics authorize the distribution of 20,000,000 AERX in airdrops prior to Listing; at the fixed ratio of 10 Points = 1 AERX, 200,000,000 Points converts to exactly that amount. Points validly earned before the cap is reached are settled at Listing under these Terms.
• Earning days. Points accrue only during designated earning days, announced on AEREDIUM's official channels. No accrual occurs outside those windows.
• Wallet requirement. Points and AERX exist solely in a verified StablePro Wallet. Disconnecting the wallet from the Program forfeits all Points; rejoining starts at zero.
• Channel clawback. Leaving X, Telegram, or Discord forfeits Points earned in that channel.
• Referral milestones. Referral rewards are milestone-based: the base reward pays only once your referral reaches Silver, completes a swap, and remains active for 30 days; the bonus pays only once they reach Gold. A referral who does not reach a milestone never earns you that portion.
• Per-action caps. Per-action caps apply as published on the Program pages at aeredium.io.

9. Detection and Investigation of Abuse

AEREDIUM employs technical and analytical measures to detect Sybil Activity and Automated Means, which may include device fingerprinting, IP and network analysis, behavioral analysis, on-chain clustering and funding-graph analysis, timing analysis, and cross-referencing of KYC data across Accounts. By participating, you consent to these measures to the extent permitted by applicable law and the Program's privacy notice.

AEREDIUM's determination that an Account, wallet, or cluster of Accounts is engaged in Sybil Activity or Automated Means is made in its sole and absolute discretion, is final, and does not require proof to any evidentiary standard, disclosure of methods, or prior notice. AEREDIUM may suspend Accounts and freeze Points during any investigation.

10. Forfeiture, Clawback, and Program Ban

If AEREDIUM determines that you have breached these Terms — including any breach of Sections 3, 4, 5, 6.2, 6.4, 7, or 8 — AEREDIUM may, without notice and without liability, take any or all of the following actions:

• Void and permanently forfeit all Points in every Account associated with you, however earned.
• Refuse, reverse, or cancel any pending or completed conversion of Points into AERX.
• Claw back, or demand the return of, any AERX delivered on the basis of Points that were invalidly earned, and set off such amounts against any other balance or entitlement you hold with AEREDIUM.
• Permanently ban you, your identity, your wallets, and your associated devices and network identifiers from the Program and from all AEREDIUM products and services.
• Report the conduct to relevant authorities and pursue any available legal remedy.

Forfeiture applies to the entirety of an offending person's Points, not only to the portion attributable to the abusive conduct. Partial compliance does not preserve partial entitlement.

11. No Obligation; Program Changes

Airdrops are made at AEREDIUM's sole discretion. Nothing in these Terms, in any announcement, or in any past Airdrop obligates AEREDIUM to conduct any future Airdrop, to credit any particular quantity of Points, or to open conversion at any particular time. AEREDIUM may amend these Terms, and may modify, suspend, or withdraw the Program, at any time by posting updated Terms on this page. Changes are not applied retroactively: Points already validly earned in compliance with these Terms are not reduced by a later change. Continued participation after an update constitutes acceptance. Nothing in this Section limits AEREDIUM's rights under Sections 7, 9, and 10 to correct errors and to void Points that were never validly earned.

12. Taxes

You are solely responsible for determining and paying any taxes that apply to your receipt of Points or AERX. AEREDIUM may withhold delivery of AERX pending receipt of tax documentation where required by applicable law, and may report information about conversions to tax authorities where legally required.

13. Disclaimers and Limitation of Liability

THE PROGRAM, POINTS, AND AERX ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. AEREDIUM MAKES NO REPRESENTATION REGARDING THE VALUE, LIQUIDITY, TRANSFERABILITY, OR FUTURE UTILITY OF AERX, AND NOTHING IN THE PROGRAM CONSTITUTES INVESTMENT, LEGAL, OR TAX ADVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEREDIUM'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PROGRAM, POINTS, OR ANY CONVERSION SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100), AND AEREDIUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TOKENS, OR EXPECTED VALUE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the British Virgin Islands, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Program shall be subject to the exclusive jurisdiction of the courts of the British Virgin Islands. You waive any right to participate in a class action against AEREDIUM relating to the Program to the extent permitted by law.

15. Severability

If any clause, provision, or portion of these Terms is found by a court of competent jurisdiction, arbitral tribunal, or other competent authority to be invalid, illegal, void, or unenforceable, that finding strikes out only the particular clause, provision, or portion so found, and only to the minimum extent required. All remaining clauses and provisions of these Terms survive unaffected and continue in full force and effect. The invalid provision shall, where possible, be deemed replaced by a valid and enforceable provision that comes closest to the original intent, and the invalidity of a provision in one jurisdiction does not affect its validity or enforceability in any other jurisdiction.

16. Canonical Version

The sole canonical and authoritative version of these Terms is the version published on the official AEREDIUM website at aeredium.io, including the pages of that website governing Airdrops. No other version, copy, reproduction, translation, summary, screenshot, cached page, archived page, or restatement of these Terms — whether appearing on a third-party website, social media, messaging platform, aggregator, or anywhere else, and whether or not attributed to AEREDIUM — has any legal effect. In the event of any conflict, discrepancy, or ambiguity between the version published at aeredium.io and any other version or communication, the version published at aeredium.io prevails in all respects. It is your responsibility to consult the canonical version at aeredium.io before participating in any Airdrop or requesting any conversion.

17. Miscellaneous

AEREDIUM's failure to enforce a provision is not a waiver. These Terms constitute the entire agreement between you and AEREDIUM concerning the Program and supersede all prior communications about airdrops, points, or token rewards. In the event of any conflict between these Terms and any summary of them, including the summary on the Airdrop Program page, these Terms govern. You may not assign your rights under these Terms; AEREDIUM may assign freely. Section headings are for convenience only.
